Opportunity Details
The client is seeking an associate attorney with 4 to 6 years of substantial experience in private equity fund formation and related matters. Candidates should have a background, preferably from a large law firm or an in-house setting, in assisting private equity fund sponsors on fund formation, preparing and negotiating fund private placement memoranda, partnership agreements, and related ancillary agreements. Additionally, experience in reviewing fund documentation on behalf of institutional investors and negotiating fund terms, as well as structuring and drafting governing documents for private equity fund management companies and general partners, is highly desired.
Applicants are expected to possess a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. While not mandatory, experience with private equity secondary transactions and GP-led restructurings would be advantageous. All candidates must hold admission to the bar in the state of their office location to be considered for this role based in cities such as New York City, Chicago, or Charlotte, NC.
