Opportunity Details
The client is seeking a corporate lawyer with 4 to 6 years of experience in matters related to private equity fund formation. The ideal candidate should have background in assisting private equity fund sponsors with fund formation matters, including preparing and negotiating private placement memoranda, partnership agreements, and related ancillary documents. Experience with reviewing fund documentation on behalf of institutional investors and negotiating fund terms is also important. Candidates should have a thorough understanding of relevant securities rules and regulations, such as the Investment Advisers Act, and experience with private equity secondary transactions or GP-led restructurings is desirable.
Candidates should have substantial experience in both large law firm environments or potentially in-house settings under certain circumstances. Familiarity with the structuring and drafting of governing documents for private equity fund management companies and general partners is expected. This role may be based in one of the client's offices in New York City, Chicago, or Charlotte, with consideration given to applicants from other locations.
Admission to the state bar of the specified office location is required for all applicants. This position offers an opportunity to work on significant private equity fund projects across multiple locations.
